Terms of Service

Last updated: October 6, 2026

These are the official Terms of Service for the Delineation mobile application, operated by Foundational Enterprise Solutions LLC. They are identical to the version you accept inside the app.

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Foundational Enterprise Solutions LLC ("Delineation," "we," "us," or "our"), the operator of the Delineation mobile application and related services (the "Service"). By creating an account, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Service.

Please read Section 29 (Dispute Resolution) carefully: it requires most disputes to be resolved through binding individual arbitration and waives your right to a jury trial and to participate in class actions.

2. Eligibility

The Service is offered solely to residents of the United States who are at least 18 years old. By using the Service, you represent and warrant that you are 18 or older, that you reside in the United States, and that you have the legal capacity to enter into these Terms. The Service is not directed to, and may not be used by, anyone located outside the United States or any person under 18. If we learn that an account belongs to someone under 18, we will close it.

3. The Service

Delineation is an informational directory that lets users discover United States businesses, post reviews and ratings, share community comments, submit incident reports, view general civic and public-official reference information, and record community-donation information. The Service is provided for general informational purposes only. We are not a party to, and are not responsible for, any interaction, transaction, dealing, or dispute between you and any business, public official, or other user. Your dealings with any third party are solely between you and that third party.

4. Platform Role; User Content Is Personal Opinion

Delineation is an interactive computer service provider as described in 47 U.S.C. § 230. Reviews, ratings, comments, incident reports, photos, videos, and all other material submitted by users ("User Content") are the personal opinions and statements of the individual users who post them — not statements, representations, endorsements, or warranties of fact by Delineation. We do not author, adopt, verify, endorse, or guarantee the accuracy, completeness, or reliability of any User Content. You should not rely on User Content as a substitute for your own independent judgment or professional advice, and you access and rely on it at your own risk.

5. Information Delineation Generates

Some of what you see is calculated by us from User Content rather than written by a user — for example average ratings, review counts, community-sentiment indicators, badges, aggregate donation totals, and lists of suggested alternative businesses.

These are automated summaries of what users have submitted. They are opinions and statistical summaries, not findings of fact, professional assessments, investigations, or certifications, and they carry all the limitations of the underlying User Content, which we do not verify. A summary may be based on a small number of submissions, on outdated submissions, or on submissions we have not reviewed. Do not treat any score, badge, or indicator as a statement that something is true about a business. If you believe a summary about your business is wrong, see Section 13.

6. Account Registration and Security

To use most features you must create an account with accurate, current, and complete information, including a valid email address and your United States location. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us promptly of any unauthorized use. We may refuse, suspend, or terminate accounts at our discretion, including for inaccurate registration information.

7. Acceptable Use

You agree not to:

• Post content that is false, misleading, defamatory, harassing, threatening, obscene, hateful, or unlawful;
• Post a review of a business in which you have an undisclosed interest, or otherwise manipulate ratings, reviews, votes, or rankings;
• Post content generated to look like the genuine experience of a real customer when it is not, or offer or accept anything of value in exchange for a review;
• Impersonate any person or entity, or misrepresent your affiliation;
• Upload content that infringes others' intellectual property, privacy, or other rights;
• Submit false or malicious incident reports;
• Use the Service, including incident reports, community indicators, or neighborhood demographic information, to target, exclude, harass, or discriminate against any person, business, or community, or to make decisions about employment, housing, credit, or insurance;
• Harvest or scrape data, or use bots or other automated means;
• Interfere with or attempt to compromise the security or operation of the Service; or
• Use the Service for any unlawful purpose.

We may investigate and take any action we deem appropriate for violations, with or without notice.

8. Objectionable Content and Community Safety

We do not tolerate content that is objectionable, abusive, harassing, hateful, sexually explicit, or that threatens or endangers anyone, and we do not tolerate users who engage in abusive behavior toward others.

You can report any review, comment, incident report, direct message, or user from within the app, and you can block another user at any time, which stops them from messaging you. We review reports of objectionable content and remove violating content, typically within 24 hours of a report, and we eject users who post it or who abuse other users. You may also reach us at info@delineation.app.

Nothing in this section obligates us to monitor the Service, and our moderation does not make us the author of, or responsible for, User Content.

9. User Content and License

You retain ownership of your User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, format, publish, publicly display, distribute, and otherwise use that User Content in connection with operating, promoting, and improving the Service.

You represent and warrant that you own or have all necessary rights to your User Content and that it does not violate these Terms or any law or third-party right. You are solely and legally responsible for your User Content, including any consequences of posting it.

10. Reviews and Community Content

Reviews, ratings, and community comments must reflect your own genuine, first-hand experience or sincerely held opinion. New reviews from newer users are held for moderation before they appear. We may moderate, decline, format, or remove any User Content at any time, with or without notice, in our sole discretion. We are not obligated to display, retain, or moderate any User Content, and moderating content does not make us the author of, or responsible for, that content.

We do not remove or suppress reviews because they are negative, and we do not condition any benefit on writing a positive review or withdrawing a negative one. We decline or remove content only when it violates these Terms — for example because it is not based on a genuine experience, targets the wrong business, contains personal information, or is abusive or unlawful. Nothing in these Terms restricts your right to share your honest assessment of a business.

11. Incident Reports

The Service allows users to submit "incident reports" about businesses. Incident reports are unverified allegations submitted by individual users. They are not confirmed by Delineation, by law enforcement, or by any official source, and they reflect only the personal account of the user who submitted them. Submitted reports are held for review and, if published, remain unverified user statements. The user who submits a report is solely responsible for it, including if a court later requires us to identify who submitted it. If you are a business owner and believe a report about your business is inaccurate, see Section 13.

12. Community Caution Indicators

The Service may display a community caution indicator on a business listing. A caution indicator reflects the aggregated opinions and experiences that community members have submitted about that business, or a concern raised by a community leader on the platform. It is a summary of community sentiment and opinion — not a statement of fact, an accusation of wrongdoing, a finding that any law was broken, a safety rating, or a recommendation that anyone avoid a business.

We do not investigate, confirm, or endorse the concerns behind a caution indicator, and their presence or absence means nothing about the quality, safety, or legality of any business. Any explanation shown alongside a caution indicator is the opinion of the community member who provided it.

If a caution indicator appears on your business, you may respond and request review under Section 13.

13. Corrections, Appeals, and Business Response

If you are the owner or authorized representative of a business and you believe a review, incident report, caution indicator, listing attribute, or Delineation-generated summary about your business is inaccurate, you may contact us at info@delineation.app or through in-app Support.

Tell us the business, what specifically you believe is inaccurate, and why. We will review the item, and we may correct it, add context, remove it, or leave it in place. We aim to respond within a reasonable time. This process is a courtesy we offer to keep the community record fair; it does not create any obligation on our part to reach a particular outcome, and it does not waive any right or defense available to us or to the user who posted the content.

14. Civic and Public-Official Information

The Service may display names, roles, contact details, and election or term information for public officials, compiled from publicly available sources. This civic information is provided for general informational purposes only, may be incomplete, inaccurate, or out of date, and should be independently verified with official government sources before you rely on it. Delineation is not affiliated with, endorsed by, or sponsored by any government entity, public official, candidate, or political party, and does not endorse any of them.

15. Business Listings and Self-Reported Attributes

Business listings and attributes — including hours, contact information, and characteristics such as whether a business is "Black-owned" or "Black-operated" — are self-declared by businesses or users, or reflect our internal review of materials submitted to us. Any "verified" indicator means only that a member of our team reviewed the information submitted to us and found it sufficient for listing purposes. It is not a government certification, an accreditation, an audit, or a guarantee of any fact, quality, ownership, or status, and it should not be described or relied on as one. We do not warrant the accuracy of any listing or attribute, and an attribute may be added, changed, or removed at any time.

If you believe an attribute on your business is wrong, see Section 13.

16. Our Community Focus; No Exclusion

Delineation exists to help people find and support Black-owned and Black-operated businesses, and to strengthen the communities around them. To do that, the Service lets businesses describe themselves using community-related attributes and lets users filter by them.

These attributes are descriptive information that businesses and users choose to provide. They are offered so that users who want to direct their support in a particular way can find businesses easily. The Service is open to all users and to all lawful United States businesses regardless of the race, ethnicity, or ancestry of their owners, customers, or employees, and we do not refuse service to anyone on those bases. Self-identification is voluntary, and declining to provide it does not prevent a business from being listed or a user from using the Service.

Community-related attributes and self-attestations are self-reported. They are not verified genealogical, ancestral, or legal determinations, and no one should treat them as proof of any person's identity, ancestry, or status.

17. Sponsored Placement and Advertising

Businesses can pay us for promotional placement. A business that purchases a promoted placement may appear higher in listings and search results than it otherwise would, and may receive additional visual prominence.

Promoted listings are labeled "Sponsored." Paying for placement does not buy a better rating, a verification status, the removal or suppression of reviews or incident reports, or any change to community indicators, and it does not mean we endorse or recommend that business. Ratings and reviews are never for sale. Placement that is not labeled "Sponsored" is determined by our ordinary ranking, which considers factors such as relevance, distance, ratings, and recency.

18. Subscriptions, Billing, Auto-Renewal, and Cancellation

Some features are sold as paid subscriptions or one-time purchases. Before you pay, we show you what you are buying, the price, and the billing interval. By completing a purchase you authorize us and our payment processor to charge your selected payment method.

Automatic renewal. Paid subscriptions renew automatically. Unless you cancel first, your subscription will renew at the end of each billing period and your payment method will be charged the then-current price for another period of the same length. For a monthly subscription, that means you are charged every month until you cancel.

How to cancel. You may cancel at any time, and cancellation takes effect at the end of the current billing period. Where you cancel depends on how you bought it: a purchase made inside our iPhone or Android app is managed in your Apple or Google account's subscription settings, and a purchase made on the web is managed from the billing screen in the app. You may also email info@delineation.app and we will point you to the right place. Canceling stops future charges; it does not shorten the period you have already paid for.

Refunds. Payments are generally non-refundable except where required by law, and canceling mid-period does not entitle you to a partial refund for the unused portion. If you bought through the Apple App Store or Google Play, that store — not us — processes refunds, and you must request one through them; we cannot issue a refund for a purchase we did not collect. For purchases made on the web, contact us at info@delineation.app and we will review it in good faith.

Price and plan changes. We may change prices or the contents of a paid plan. We will give you advance notice of a price increase, and the new price applies to renewals after the notice period. If you do not agree, cancel before the change takes effect.

Failed payments and downgrades. If a charge fails or a subscription lapses, paid features may be suspended or removed until payment succeeds. Free features remain available.

Taxes. Prices exclude any applicable taxes, which we may add where required.

19. Coupons and Offers

Businesses on a paid plan may publish coupons and offers through the Service. Each offer is made by the business, not by Delineation. The business is solely responsible for honoring an offer as described, for its accuracy and lawfulness, and for any taxes that apply to it. Delineation is not a party to any sale and does not guarantee that an offer will be honored or that any code will be accepted.

Claim codes. A claim code is personal to the account that claimed it and is limited to one per account per offer. A code may not be transferred, sold, or shared, and we may void a code that is misused.

Limits and changes. Businesses may set redemption limits and end dates and may pause an offer. A code that has already been issued remains redeemable until the offer's stated end date. We may pause or remove any offer that is misleading, unlawful, or reported, and repeated violations may end a business's paid plan without refund.

Records and disputes. Redemptions are recorded for the business owner and used for analytics. Any dispute about an offer, including whether it was honored, is between you and the business.

20. Community Donations

The Service may display a record of community donations or contributions associated with businesses. This is an informational tracking log only, based on information submitted to us and reviewed internally. Delineation is not a charity, fundraising platform, payment processor, money transmitter, escrow, or tax advisor; we do not collect, hold, or transmit donated funds through the Service; and donation entries are informational only and are not receipts or proof of any tax-deductible contribution. Nothing on the Service should be read as a representation that any contribution is tax-deductible. Consult your own tax advisor regarding any contribution.

21. Intellectual Property

The Service, including its software, design, text, graphics, and logos (excluding User Content), is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service except as permitted by law.

22. Copyright and DMCA Notice-and-Takedown

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA"). If you believe content on the Service infringes your copyright, send a written notice to our designated agent at info@delineation.app (subject line: "DMCA Notice") that includes:

• Your physical or electronic signature;
• Identification of the copyrighted work;
• Identification of the allegedly infringing material and where it is located;
• Your contact information;
• A statement of good-faith belief that the use is not authorized; and
• A statement, under penalty of perjury, that your notice is accurate and that you are the copyright owner or authorized to act on its behalf.

We may remove allegedly infringing content and, in appropriate circumstances, terminate the accounts of repeat infringers. A user whose content is removed may submit a counter-notice as permitted by the DMCA.

23. Third-Party Links and Services

The Service may link to or rely on third-party websites, businesses, or services that we do not control. We are not responsible for third-party content, products, policies, or practices, and your use of any third party is at your own risk and subject to that third party's terms.

24. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY BUSINESS LISTING, CIVIC INFORMATION, COMMUNITY INDICATOR, RATING, OR USER CONTENT IS ACCURATE, CURRENT, OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

25. Assumption of Risk

You understand and agree that you use the Service, rely on any content, and contact, visit, or transact with any business, public official, or other user entirely at your own risk. We are not responsible for the conduct of any user, business, or third party, whether online or offline.

26. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DELINEATION AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND ARE A FUNDAMENTAL BASIS OF OUR AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

27. Indemnification

You agree to indemnify, defend, and hold harmless Delineation and its operator from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your User Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.

If you hold an elevated role on the Service — for example as an administrator, reviewer, or community leader — you act on your own behalf and not as our employee, agent, or partner, and you are responsible for what you publish through that role.

28. Term and Termination

These Terms remain in effect while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination — including the User Content license for content you previously submitted, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

29. Dispute Resolution; Binding Arbitration; Class-Action and Jury Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Governing Law. These Terms are governed by the laws of the State of Wyoming and applicable U.S. federal law, without regard to conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of this Section.

Informal Resolution. Before starting an arbitration, you agree to first contact us at info@delineation.app and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration administered by a recognized arbitration provider under its applicable rules, rather than in court. The arbitrator decides all issues, except that a court may decide the enforceability of the Class-Action Waiver below.

Class-Action Waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.

Jury-Trial Waiver. TO THE EXTENT A CLAIM PROCEEDS IN COURT, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property or unauthorized-access claims.

30-Day Opt-Out. You may opt out of this arbitration agreement by emailing info@delineation.app within 30 days of first accepting these Terms, stating your name and your intent to opt out. Opting out does not affect the other provisions of these Terms.

Time to Bring Claims. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.

30. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as through the app, and we will ask you to accept the updated Terms before you continue using the Service. Changes are effective when posted or on a stated effective date. If you do not agree, stop using the Service and delete your account.

31. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede prior agreements. If any provision is found unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them. We are not liable for delays or failures caused by events beyond our reasonable control. We may provide notices to you through the app or by email.

32. Contact

Questions about these Terms? Contact us at info@delineation.app or through the in-app Support section.
